Terms of service
Agreement
These terms are a legal agreement between you and OmniQm Labs LLC ("we", "us", "our") about Post.Pilot, our iPhone app, and the services and web pages behind it (together, "Post.Pilot"). By downloading or using Post.Pilot you agree to these terms and to our privacy policy. If you don't agree, don't use Post.Pilot. If you use it on behalf of a business, you agree for that business and confirm you may do so. Section 17 has an arbitration agreement and a class action waiver that affect how disputes are resolved; please read it.
1. Who can use Post.Pilot
You must be at least 13 years old, or the minimum age to use online services in your country, and old enough to form a binding contract or have a parent or guardian agree to these terms for you. You may not use Post.Pilot if you're barred from doing so by law, or if we've previously ended your access.
2. What Post.Pilot does
Post.Pilot helps you plan and publish posts on Instagram and X. It suggests drafts from photos and videos in your own photo library, writes captions and posts with AI, learns your writing voice on X, studies Reels you choose so you can remake them with your own clips, shows statistics, and publishes the posts you approve at the times you choose. Nothing is posted without your approval. We may add, change or remove features as Post.Pilot develops, and we'll tell you in the app about changes that matter.
3. Your account
You sign in with Apple. You're responsible for keeping your device and Apple ID secure and for everything done through your account. Tell us right away at support@omniqm.com if you think someone else has used it. You can delete your account at any time in Settings.
4. Instagram, Facebook and X
Post.Pilot works with services we don't control. When you connect Instagram, Facebook or X, you authorize us to access and act on those accounts as described in the privacy policy, including publishing the posts you approve at the times you set. You're responsible for following those services' terms, policies and community rules, and for having the right to use the accounts you connect. Post.Pilot isn't affiliated with, sponsored or endorsed by Meta or X; Instagram, Facebook and X are their trademarks. Those services can change, limit or end their access at any time, which may change or stop some features, and we're not responsible for their actions, availability, or the reach of your posts.
5. Your content
"Your content" means the photos, videos, captions, posts, topics and other material you use with Post.Pilot. You keep all rights to it. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example cropping, resizing and re-encoding) and transmit your content only as needed to operate Post.Pilot for you, including sending it to our service providers and publishing what you approve. This license ends when your content is deleted from our systems, except for content you published, which stays on the platform you posted it to under that platform's terms.
You're solely responsible for your content and for what you choose to publish. You confirm that you own or have all rights and permissions needed for it, including from the people who appear in it and for any music, artwork, logos, trademarks or other people's work it contains, and that publishing it won't break any law or anyone's rights. When you remake a Reel, use it as inspiration for structure and timing only: don't copy other creators' words, footage, music or other protected elements.
6. AI features
Post.Pilot uses AI to choose photos and to write captions, posts, descriptions of your writing voice, and Reel recipes ("AI output"). AI output can be inaccurate, incomplete, unsuitable, biased, or similar to content produced for others, and it isn't professional advice of any kind. Review every draft before approving it: once you approve a draft, it's your content and your decision to publish. Between you and us, you own the AI output generated for you, to the extent the law allows, and we don't claim it. Drafts about politics, health or money are flagged for an extra look, but the responsibility for what you post is yours.
7. Scheduling and publishing
We work to publish approved posts on time, but publishing depends on the platforms, the internet and our providers, so we don't guarantee that any post will go out at a particular time or at all, and a post that can't go out within a short window after its time isn't retried. The app shows each post's status. Check that important posts went out, and pause or remove posts you no longer want before their time.
8. Acceptable use
You agree not to use Post.Pilot to: publish anything illegal, harmful, threatening, harassing, hateful, sexually explicit involving minors, deceptive or misleading (including undisclosed paid promotion where disclosure is required), or that infringes anyone's rights; send spam or run inauthentic or coordinated activity; impersonate anyone; break the terms of Instagram, Facebook or X; or collect other people's information. You also agree not to copy, sell, resell or sublicense Post.Pilot; reverse engineer it except as the law allows; get around its limits, plans or security; overload or interfere with it; or use automated means to access it other than the app. We may remove content from our systems, refuse to publish, or suspend accounts that break these rules.
9. Plans, subscriptions and payment
Post.Pilot has a free Basic plan and a paid Premium plan with higher limits, described in the app. Premium is an auto-renewing subscription sold and billed by Apple through your Apple ID under Apple's terms. The price is shown before you buy. Your subscription renews automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period, in your iPhone's Settings, under your name, then Subscriptions; cancelling stops future renewals, and Premium continues until the end of the period you paid for. We'll give advance notice of price increases as Apple's rules require. Payments, refunds and billing problems are handled by Apple under its policies; we can't issue refunds ourselves. Deleting your Post.Pilot account doesn't cancel an Apple subscription. We may change what each plan includes; if a change reduces what you paid for, it takes effect at your next renewal and we'll tell you in advance.
10. Our rights
Post.Pilot, including its software, design, text, graphics, logo and the Post.Pilot name, belongs to OmniQm Labs LLC and its licensors and is protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the app on Apple devices you own or control, for your own posting, under these terms and Apple's App Store rules. We keep all rights not expressly given. If you send us ideas or feedback, we may use them without any obligation to you.
11. Copyright complaints
If you believe content handled through Post.Pilot infringes your copyright, send a notice to support@omniqm.com with: your contact details; a description of the work; where the content is; a statement that you have a good-faith belief the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorized to act for the owner; and your physical or electronic signature. Posts already published live on Instagram or X; report them to those services too. We end the accounts of repeat infringers in appropriate circumstances.
12. Ending
You can stop using Post.Pilot and delete your account at any time. We may suspend or end your access, with notice where we reasonably can, if you break these terms or the law, if your use creates risk or legal exposure for us or others, if a platform requires it, or if we stop offering Post.Pilot. When your account ends, your right to use Post.Pilot ends, scheduled posts won't be published, and we delete your information as described in the privacy policy. Sections 5 (for published content), 6, and 10 through 19 survive.
13. Disclaimers
Post.Pilot is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and that Post.Pilot will be uninterrupted, timely, secure, error-free, or that AI output or statistics will be accurate. We don't promise any growth, reach, followers, engagement or business results. Some places don't allow certain disclaimers, so some of these may not apply to you.
14. Limitation of liability
To the fullest extent the law allows, OmniQm Labs LLC and its owners, employees and suppliers won't be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, followers, reach, goodwill or business opportunities, or for content you publish or fail to publish, arising from or related to Post.Pilot, even if we were told they were possible. Our total liability for all claims related to Post.Pilot is limited to the greater of the amount you paid for Post.Pilot in the 12 months before the claim and US$50. These limits apply to every theory of liability and are a fair allocation of risk; they don't limit liability that the law doesn't allow to be limited, such as for fraud, gross negligence or willful misconduct, or rights you have under consumer protection laws that can't be waived.
15. Indemnity
To the extent the law allows, you'll defend and compensate OmniQm Labs LLC for claims, losses and reasonable costs (including legal fees) brought by third parties that arise from your content, your posts, your use of connected accounts, or your breaking these terms or the law. We'll tell you about such a claim and may take part in the defense with our own lawyers.
16. Apple's App Store
These terms are between you and OmniQm Labs LLC only, not Apple. OmniQm Labs LLC, not Apple, is solely responsible for Post.Pilot and its content. Apple has no obligation to provide maintenance or support for Post.Pilot. If Post.Pilot fails to meet an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the extent the law allows, Apple has no other warranty obligation, and any other claims, losses or costs from a failure to meet a warranty are our responsibility under these terms. Apple isn't responsible for addressing any claims by you or a third party about Post.Pilot, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection or privacy claims, or claims that it infringes someone's intellectual property; we are responsible for investigating, defending, settling and discharging those, as these terms provide. You confirm you're not in a country under a US government embargo or designated as "terrorist supporting", and you're not on any US government list of prohibited or restricted parties. You must also follow the terms of third parties you use with Post.Pilot, such as your wireless carrier. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. Apple's Licensed Application End User License Agreement also applies where these terms don't cover something; if they conflict, these terms control to the extent Apple's rules allow.
17. Disputes: informal resolution, arbitration and class action waiver
Talk to us first. Before filing a claim, write to support@omniqm.com describing the problem and what you want; we'll try to resolve it informally within 60 days, and so will you.
Binding individual arbitration. If we can't resolve it, you and OmniQm Labs LLC agree that any dispute arising from or related to Post.Pilot or these terms will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, by a single arbitrator, rather than in court, except that either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court to stop infringement or misuse of intellectual property. The arbitration may be held by video or phone, or in Orange County, Florida, or the county where you live. Fees are paid as the AAA's Consumer Rules provide. The arbitrator decides all issues, including the scope and enforceability of this agreement to arbitrate, and may award the same individual relief a court could.
No class actions. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective or representative action, and the arbitrator may not combine claims of more than one person. If this class action waiver is found unenforceable for a claim, that claim must proceed in court, not in arbitration. You and we waive any right to a jury trial.
Opting out. You can opt out of this arbitration agreement by emailing support@omniqm.com within 30 days of first accepting these terms, with your name and the username of an account you connected and a statement that you opt out of arbitration. Opting out doesn't affect the rest of these terms.
Any claim must be brought within one year after it arose, to the extent the law allows. If you live in the European Union, the United Kingdom or another place whose laws don't allow these provisions, this section applies only as far as your local law allows, and you can also use your local courts and consumer protection bodies.
18. Governing law
These terms and any dispute are governed by the laws of the State of Florida, United States, and the state and federal courts in Orange County, Florida, without regard to conflict-of-law rules, and by the Federal Arbitration Act for section 17. For anything not subject to arbitration, you and we agree to the exclusive jurisdiction of those courts. If you're a consumer living outside the United States, you keep the protection of the mandatory laws of your country.
19. General
These terms, the privacy policy and any terms shown in the app for specific features are the entire agreement between you and us about Post.Pilot. If any part is found unenforceable, the rest stays in effect. If we don't enforce a right, we haven't waived it. You may not transfer these terms without our consent; we may transfer them with the business. We're not responsible for delays or failures caused by events beyond our reasonable control. We may send notices in the app or to an email you give us. We may update these terms; we'll change the effective date and, for changes that matter, tell you in the app before they take effect. Continuing to use Post.Pilot after that means you accept the updated terms.
